The Agency will provide The Company with media planning and buying services as set out in Schedule 1. In that capacity, the Agency will negotiate and contract on behalf of The Company with various owners of media or vendors representing such media owners or service providers providing services ancillary to the buying and placing of media (e.g., data aggregators, research companies, ad serving vendors, etc.) (together hereafter referred to as the “Media Suppliers”) in order to purchase advertising space and related services for The Company, within the framework and after the approvals set out hereafter.
