I think that this would fit but yoy will need to rutnr the phrase round. It's just a guess as differire means to refer or deliver or remit,

I would structure this rather standard phrase a little differently to the Italian...something such as...

"....vested with the broadest powers of...for all matters not expressly....shareholders"

The law, or the present statute, defers all authority over ordinary and extra-ordinary administrative issues to the administration council or the sole administrator of the company as long as such matters are not obligatorily reserved for the assembly...

agree James (Jim) Davis : With defers. Not with "authority" all "matters" or "all that". Not with "administrative council" and not with "sole administrator" not with "assembly".
