"Em 22 de dezembro de 2009, a Assembléia Geral Extraordinária da X aprovou a incorporação da Y pela Companhia, ambas com extinção das sociedades incorporadas, que foram sucedidas a TÍTULO UNIVERSAL Ppela incorporadora.
Considerando que X era titular da totalidade do capital das sociedades incorporadas, não houve aumento de capital social da incorporadora. As incorporações, embora plenamente válidas desde aquelas datas, ficaram com sua eficácia suspensa até 31 de dezembro de 2009, data que foram contabilizados os resultados apurados nas sociedades incorporadas. Desse modo, somente então a incorporação tornou-se eficaz e produziu todos os seus efeitos, sejam eles civis, societários, contábeis ou fiscais."
