Co-Obligor 1 and Co-Obligor 2 hereby irrevocably and unconditionally:
a. agree (as primary obligor and not only as a surety) to jointly and severally procure to the Seller the due and punctual observance and performance by the Purchaser of all the obligations, commitments, undertakings, warranties and indemnities of the Purchaser under this Agreement and agree that promptly on the Seller’s demand they will pay to the Seller any liability which is due but unpaid

liabilities - это еще копенсационные обязательства (вкл. обязательство возместить ущерб) например.

Задолженность - скорее бухгалтерский термин.
