scioglimento

Termination/Determination - “scioglimento” del contratto, ovvero la cessazione degli obblighi e diritti che vincolano le parti in un momento antecedente alla scadenza del contratto (expiration). Nell'ordinamento giuridico italiano, lo scioglimento del contratto può avvenire :
1) per mutuo consenso;
2) per recesso (unilaterale), secondo quanto pattuito tra le parti nel contratto e con un dato periodo di preavviso;
3) per disdetta, per i contratti che si rinnovano automaticamente, previa comunicazione all'altra parte che non si intende prorogare il contratto;
4) per risoluzione, nei casi di inadempimento contrattuale, impossibilità sopravvenuta (forza maggiore), oppure eccessiva onerosità sopravvenuta.
Il termine "risoluzione" viene usato spesso come sinonimo di scioglimento, anche se ne costituisce una delle “sottocategorie”.
