Parties hereby agree that this Contract shall include, as a minimum requirement, the following:

- a detailed specification of the service to be provided, including the method, time and place of performance;
- a detailed identification of the amount to be paid for the service and detailed reasons for the method of calculating the amount;
- a full specification of the value of services to be provided by the Trustee;
- a declaration by the Trustee that it will not use money or other consideration paid by the Creditor for unlawful purposes, such as direct or indirect payments to any government official to assist Creditor or any Group member company in obtaining or retaining business;
